Terms of Service

Effective 11 October 2026 · Version 2026-10-11

1. This agreement

These Terms of Service ("Terms") are a binding agreement between Tantra Technologies, which owns and operates SORA ("Tantra Technologies", "we", "us", "our") and the business or person that registers for, pays for or uses SORA ("Customer", "you"). By ticking the acceptance box, creating an account, paying a fee or using the Service, you agree to these Terms and to the Privacy Policy, Acceptable Use Policy, Refund and Cancellation Policy and Data Processing Terms, each of which forms part of this agreement.

If you accept on behalf of a company, firm or other organisation, you confirm that you have authority to bind it, and "you" means that organisation. If you do not agree, do not use the Service.

SORA is a product of Tantra Technologies. "SORA" is the name of the product and not a separate legal person; Tantra Technologies is the party you contract with.

2. The Service

SORA is business software, provided over the internet and through mobile applications, for running a solar installation business: enquiries, surveys, designs, proposals, projects, inventory, payments, service and related records (the "Service").

The Service is a tool. It is not engineering, electrical, structural, legal, tax, accounting or financial advice, and nothing it produces is certified by us. See section 9.

We may add, change or withdraw features. Where a change materially reduces what you have paid for, we will give reasonable notice and your remedy is to cancel under the Refund and Cancellation Policy.

3. Your account

You must give accurate registration details and keep them current. You are responsible for everyone you allow to use your account, for the permissions you give them, and for everything done with your credentials, whether or not you authorised it.

Keep passwords confidential. Tell us at once of any unauthorised use. We are not liable for loss arising from credentials you or your users disclosed, shared with a third party or with an automated tool, or failed to protect.

The Service is for businesses. You confirm you are at least eighteen years old and are not using it as a consumer for personal, family or household purposes.

4. Fees, taxes and renewal

Fees are as shown at the time of purchase, or as agreed in writing. Unless stated otherwise they are in Indian Rupees and include goods and services tax at the rate then in force; the tax is shown separately on your invoice and is not added to the price shown. If the rate of tax changes, the tax component of the price changes with it.

Add-ons are optional, are charged in addition to the subscription at the price shown when you add them, and renew with it. An add-on added part-way through a period is charged for the remainder of that period.

The WhatsApp add-on includes the number of utility messages per month shown when you add it, for messages sent through our WhatsApp Business number. Messages beyond that allowance continue to be sent and are charged at the rate WhatsApp's operator, Meta, then charges for a utility message in India, which is set by Meta and may change. Messages sent from a WhatsApp Business number of your own are billed to you by Meta directly and are outside this allowance.

Subscriptions are billed in advance for the period chosen and renew automatically for the same period unless cancelled before renewal. One-time set-up fees are charged once and are for work that begins on payment.

We may change fees for a future period on at least thirty days' notice. If you do not agree, cancel before the change takes effect; continuing to use the Service after it does is acceptance.

If a payment fails or is reversed, we may suspend the Service after notice until it is paid. Amounts overdue bear interest at the lower of 1.5% a month and the highest rate the law allows, and you are liable for reasonable costs of recovery.

Payments are processed by third-party payment providers under their own terms. We do not store card details.

Payments from your own customers. Where you enable online payment for your customers, those payments are taken through a payment-gateway account that you hold in your own name and connect to the Service. They are made to you, not to us: we do not collect, hold, settle or refund them, and we are not a party to them. You are responsible for that account, its credentials, its compliance requirements and any dispute, chargeback or refund arising from it. If no such account is connected, the Service does not offer online payment to your customers.

5. Your data

You own the data you and your users put into the Service ("Customer Data"). You grant us a licence to host, copy, process, transmit and display it as necessary to provide, secure, support and improve the Service, and as the law requires.

You are responsible for the accuracy and lawfulness of Customer Data and for having every right, consent and notice needed to put it into the Service — including for the personal data of your own customers, employees and leads. For that personal data you are the party who decides why and how it is processed, and we process it on your instructions under the Data Processing Terms.

We may compile aggregated or de-identified information from use of the Service that does not identify you or any individual, and use it to operate and improve our products.

You are responsible for keeping your own copies of important records. The Service offers exports for that purpose. While we maintain backups for our own continuity, we do not guarantee that any particular record can be restored.

6. Acceptable use

You must comply with the Acceptable Use Policy. In particular you must not access the Service by any automated means, scrape or bulk-extract data from it, attempt to reach another customer's data, probe or circumvent its security, or use it to break the law.

We may monitor use for security and compliance, and may limit, suspend or block access — without notice where we reasonably consider it urgent — to protect the Service, other customers or third parties.

7. Our property

The Service, its software, design, templates, documentation and marks belong to us or our licensors and are protected by law. You receive only a limited, non-exclusive, non-transferable right to use the Service for your internal business during your subscription. Nothing is sold to you.

You must not copy, modify, reverse-engineer, decompile, resell, sublicense or build a competing product from the Service, or remove any notice from it. If you give us suggestions, we may use them without obligation.

Your branding and ours. The Service presents your business under your own name, logo, colours and wording on the documents, messages and pages your customers see. It also carries a discreet attribution — "Powered by SORA", with our mark and tagline — on those documents, emails, customer-facing pages and inside the application. This attribution is part of the Service on every plan. It cannot be removed, hidden, obscured, cropped or altered, and no plan, add-on or fee removes it; the Service is not offered on a fully unbranded ("white-label") basis.

The attribution identifies the software only. It does not make us a party to anything between you and your customers, does not mean we have reviewed, approved or stand behind any document, price, design or statement you send, and does not make us responsible for it. You grant us a non-exclusive, royalty-free right to display the attribution on the material the Service produces for you, for as long as that material exists.

You may not use our name, logo or marks in any other way — in particular to suggest partnership, endorsement or certification — without our written consent.

8. Third-party services

The Service works with services we do not control — payment providers, messaging and email services, mapping and satellite imagery, bank and tax directories, file storage, equipment data and government portals. Their availability, accuracy and terms are theirs. We are not responsible for them, and imagery, directories and public data shown in the Service may be out of date or wrong.

9. Calculations, designs and documents — important

The Service produces estimates and drafts: system sizes, panel layouts, shading and sun-access figures, generation and savings projections, payback periods, tariffs, subsidy amounts, bills of quantities, stringing suggestions, single-line diagrams, quotations, invoices and tax figures. These are aids to your own professional work. They are generated from the information entered, from assumptions and from third-party data, and they may be incomplete or wrong.

You are solely responsible for verifying every output before relying on it or giving it to anyone, and for every decision about engineering, electrical and structural safety, product selection, regulatory compliance, subsidy eligibility, taxation and pricing. Structural adequacy, cable sizing, protection ratings, earthing and compliance with electrical codes and DISCOM requirements must be determined by a suitably qualified person. We do not perform or certify any of them.

Figures read automatically from photographs or documents, including electricity bills, may be misread. You must check them against the original.

We make no promise that any projected generation, saving, subsidy or approval will be achieved, and we have no liability to you or to your customers for any proposal, design, installation or representation you make using the Service.

10. Availability and support

We aim to keep the Service available and secure but do not promise that it will be uninterrupted, error-free or free of harmful components. It may be unavailable for maintenance, for reasons outside our control, or because of third-party failures. Any service level applies only if agreed with you in a signed document.

11. Disclaimer of warranties

To the fullest extent the law allows, the Service is provided "as is" and "as available". We disclaim all warranties, conditions and representations, express, implied or statutory, including merchantability, satisfactory quality, fitness for a particular purpose, accuracy, non-infringement and uninterrupted operation.

12. Limit of liability

To the fullest extent the law allows: (a) we are not liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profit, revenue, business, contracts, goodwill, anticipated savings or data, however caused and whether or not foreseeable; and (b) our total aggregate liability for all claims arising out of or relating to the Service or these Terms, in contract, tort (including negligence), statute or otherwise, is limited to the fees you actually paid us for the Service in the three months before the event giving rise to the first claim.

These limits apply to Tantra Technologies and to its directors, officers, employees, contractors and suppliers, each of whom may rely on this section.

Nothing in these Terms excludes liability that cannot lawfully be excluded. You agree that the fees reflect this allocation of risk and that we would not provide the Service without it.

Any claim must be brought within one year of the event giving rise to it, after which it is barred to the extent the law permits.

13. Your indemnity

You will defend, indemnify and hold harmless Tantra Technologies and its directors, officers, employees and contractors against all claims, losses, liabilities, penalties, costs and expenses (including reasonable legal fees) arising from: your Customer Data; your use of the Service in breach of these Terms or of law; the products, installations, proposals, advice or services you provide to your own customers; and any dispute between you and your users, customers, employees or a public authority.

14. Suspension and termination

You may cancel at any time under the Refund and Cancellation Policy. We may suspend or terminate your access on notice if you breach these Terms, fail to pay, become insolvent, or if required by law; and immediately where there is a risk to security, to other customers or of unlawful use.

On termination your right to use the Service ends. For thirty days afterwards you may ask for an export of your Customer Data, provided all fees are paid; after that we may delete it, subject to what the law requires us to keep. Sections that by their nature should survive — including 5, 7, 9, 11, 12, 13, 16 and 17 — survive termination.

15. Changes to these Terms

We may change these Terms. We will post the new version with its date and, for a material change, notify the account owner by email or in the Service at least fifteen days before it takes effect. Continued use after that date is acceptance; if you do not agree, cancel before it.

16. Governing law and disputes

These Terms are governed by the laws of India. The parties will first try in good faith to resolve any dispute by discussion within thirty days of written notice. Failing that, the dispute shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement or, failing agreement, in accordance with that Act. The seat and venue of arbitration is Nashik, Maharashtra; the language is English; the award is final and binding.

Subject to the above, the courts at Nashik, Maharashtra have exclusive jurisdiction. Either party may seek urgent interim or injunctive relief from a competent court, and we may bring proceedings to recover unpaid fees in any court of competent jurisdiction.

You agree to bring claims only in your individual capacity and not as part of any class, collective or representative proceeding, to the extent the law permits.

17. General

These Terms and the documents they refer to are the entire agreement on their subject and replace all earlier understandings. If a provision is unenforceable it is to be enforced to the greatest extent possible and the rest remains in effect. A failure to enforce a right is not a waiver.

You may not assign this agreement without our written consent. We may assign it to an affiliate or to a successor of our business. Neither party is liable for failure caused by events beyond its reasonable control, including failures of the internet, utilities, hosting or other third-party services, acts of government, and natural events; this does not excuse payment.

The parties are independent contractors. Notices to you may be sent to the account owner's email address and are deemed received when sent. Notices to us must be sent to the legal address below. This is an electronic record under the Information Technology Act, 2000 and needs no physical or digital signature.
